1 Scope of Agreement & Definitions
These Master Terms of Service ("Agreement") constitute the binding commercial framework between Aurelius Security Services ("Aurelius", "Contractor", "we", "us") and the contracting business, corporate entity, property group, or event organizer ("Client") engaging Aurelius for professional security operations.
"Security Services" encompasses static guarding, mobile vehicle patrols, gatehouse and loading dock access control, concierge/front-of-house reception security, crowd control and event safety, asset protection, and emergency alarm response across Western Australia as detailed in the corresponding executed Proposal or Service Schedule.
2 WA Statutory Licensing & Operational Authority
All security operations performed by Aurelius are strictly regulated under the Security and Related Activities (Control) Act 1996 (WA) and the Security and Related Activities (Control) Regulations 1997 (WA) administered by WA Police Licensing Services.
Mandatory Verification: Aurelius warrants that 100% of deployed security officers and crowd controllers hold valid, individual WA Security Officer licences, current First Aid certifications, and verified National Police Clearances.
3 Pre-Deployment Site Assessments & Post Orders
Prior to deploying security personnel to any new site or major event, Aurelius conducts an initial Threat & Vulnerability Assessment to evaluate access points, lighting, perimeter integrity, and surveillance architecture.
Deployed officers operate under custom, client-approved Post Orders (Site Operating Procedures). Post Orders define routine duties, lockdown schedules, visitor sign-in protocols, emergency contact trees, and escalation pathways. Post Orders may be updated mutually in writing as site requirements evolve.
4 Client Obligations & Workplace Health and Safety (WHS)
Under the Work Health and Safety Act 2020 (WA), the Client shares statutory duties of care and agrees to:
- Provide safe, unobstructed access to the designated premises, gatehouses, control rooms, and amenities required for security officers to perform their duties.
- Disclose known site hazards, structural risks, hazardous materials, or heightened threat intelligence prior to deployment.
- Ensure adequate lighting, functional communication infrastructure, and welfare facilities for stationed guards.
- Nominate authorized primary and secondary client representatives empowered to receive urgent incident escalations 24/7.
5 Officer Conduct, Legal Powers & Restraint Protocols
Aurelius officers execute their duties within the lawful authority granted under Western Australian common law and the Criminal Code Act Compilation Act 1913 (WA):
- Access Control & Refusal of Entry: As agents of the occupier, officers possess the lawful right to deny entry to individuals who refuse credential verification, bag inspections where posted, or who breach site code-of-conduct.
- Citizen's Arrest & Lawful Detention: Officers are trained in proportional de-escalation. Physical restraint or detention is strictly limited to situations where a serious indictable offence is committed in the officer's presence, pending immediate handover to the WA Police Force.
- Customer Service & Presentation: Officers maintain professional corporate attire or high-visibility security uniforms, projecting calm authority, courtesy, and respect at all times.
6 Digital Reporting, Telemetry & Audit Logs
Aurelius provides real-time operational transparency. Every static shift and mobile patrol generates digital audit logs including GPS route verification, barcode/checkpoint scans, photographic logs of locked gates, and detailed incident summaries.
Incident reports involving security breaches, property damage, trespassing, or medical emergencies are transmitted to nominated Client facility managers within agreed Service Level Agreement (SLA) timeframes (standardly within 2 hours of shift conclusion, or immediately in critical emergencies).
7 Fees, Rates, Invoicing & Overtime Terms
Invoices are issued fortnightly or monthly in accordance with the agreed Service Schedule. Standard trading terms are strictly 14 days from date of invoice unless specifically negotiated in writing.
Penalty rates, public holiday allowances, and short-notice ad-hoc shift requests apply in alignment with the Security Services Industry Award 2020 and contractual rate cards. Late payments may accrue statutory interest.
8 Limitation of Liability, Indemnity & Insurance Cover
Aurelius maintains comprehensive corporate insurance policies:
- Public & Products Liability: $20,000,000 policy limit per occurrence.
- Professional Indemnity: $10,000,000 policy limit.
- Workers' Compensation: Full statutory compliance under WA law.
- Fleet & Motor Vehicle: Comprehensive commercial coverage for all mobile patrol vehicles.
Liability Cap: While Aurelius exercises the highest industry care in loss deterrence, security personnel cannot guarantee immunity from criminal acts of third parties. Liability is limited to the extent permitted under Australian Consumer Law and governed by the terms of our insurance coverage.
9 Confidentiality & Protection of Site Blueprints
Both parties agree to maintain strict confidentiality regarding proprietary business operations, commercial terms, architectural schematics, alarm codes, server room locations, and threat assessments. Aurelius personnel execute non-disclosure agreements (NDAs) as a standard condition of employment.
10 Term, Rostering Notice, Suspension & Termination
Recurring security agreements continue for the initial term specified in the Service Schedule and renew on rolling terms unless 30 days' prior written notice of non-renewal is provided.
Ad-hoc event security or short-term deployments require a minimum of 48 hours' notice for schedule amendments or cancellations to allow fair roster adjustment under Australian industrial relations standards.
11 Force Majeure & Remote WA Contingencies
Neither party is liable for failure to perform duties caused by events beyond reasonable control, including catastrophic weather events (cyclones, bushfires, flash flooding), civil disorder, government-mandated lockdowns, or power grid failures. Aurelius maintains active Business Continuity Plans (BCP) to ensure rapid operational resumption.
12 Governing Law & Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the State of Western Australia and the Commonwealth of Australia. The parties submit to the exclusive jurisdiction of the Courts of Western Australia.
